Terms of Service

These Terms of Service ("Terms") govern your access to and use of GoBaoPay (the "Service"), operated by [Legal entity name], registered at [Registered address] ("GoBaoPay", "we", "us"). By creating an account or using the Service, you agree to these Terms.

1. What GoBaoPay is

GoBaoPay is a payment-request and request-management tool for suppliers. It lets a seller create a branded payment request (an amount, currency, and description) and share it with a buyer as a link or QR code. GoBaoPay is not a payment processor, payment institution, or money transmitter. GoBaoPay never receives, holds, transmits, or has custody of any funds at any point. When a buyer pays a request, funds move directly from the buyer to the seller's own PayPal, Alipay, WeChat Pay, bank, Wise, or Remitly account, using that provider's own payment infrastructure. GoBaoPay is not a party to that payment and has no visibility into or control over the underlying transaction beyond the status the seller or provider reports back.

2. Eligibility and accounts

Seller accounts are provisioned individually; there is no public self-registration. You must provide accurate information when your account is set up and keep your login credentials confidential. You are responsible for all activity under your account.

3. Fees

Any fees for using GoBaoPay are agreed individually with your account and set out separately at registration. Fees relate solely to use of the request-management platform and are not, and never include, a fee on funds transferred between you and your buyer, since GoBaoPay does not touch those funds.

4. Your responsibilities

You are solely responsible for: the accuracy of the payment requests you create; your relationship, contract, and any dispute with your buyer; complying with the terms of service of the payment providers (PayPal, Alipay, WeChat Pay, banks, Wise, Remitly, etc.) you use to receive funds; and complying with all laws applicable to your business, including tax, consumer protection, and anti-money-laundering obligations. 5. No liability for payment outcomes

Because GoBaoPay only displays a request and never processes, holds, or guarantees payment, we are not responsible for a buyer's failure to pay, a payment provider's delay, reversal, chargeback, or refusal of a transaction, or any loss arising from a payment made outside of GoBaoPay after a request was shared. Disputes over a specific payment must be resolved directly between you, your buyer, and the relevant payment provider.

6. Intellectual property

GoBaoPay and its logos, branding, and software are owned by us and protected by intellectual property law. You may not copy, modify, reverse-engineer, or resell the Service without our written permission.

7. Suspension and termination

We may suspend or terminate your account if we reasonably believe you have violated these Terms, our Acceptable Use Policy, or applicable law, or if we are required to do so by a payment provider or regulator. You may stop using the Service at any time; outstanding obligations to your buyers or payment providers are unaffected by termination of your GoBaoPay account.

8. Disclaimers and limitation of liability

The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, GoBaoPay's total liability arising from your use of the Service is limited to the fees you paid us in the three months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

9. Indemnification

You agree to indemnify and hold GoBaoPay harmless from claims arising from your use of the Service, your payment requests, your relationship with your buyers, or your violation of these Terms or applicable law.

10. Governing law and disputes

These Terms are governed by the laws of [Governing law jurisdiction], without regard to conflict-of-law principles. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the courts of [Jurisdiction], unless mandatory local consumer law provides otherwise.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated to registered sellers. Continued use of the Service after changes take effect constitutes acceptance.
